StockPulse Terms of Service

1. Agreement to Terms
By creating an account on StockPulse ("the Platform"), you agree to be bound by these Terms of Service. StockPulse is operated by RatikLytics Limited ("we", "us", "our"). If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Intellectual Property
Your Data: You retain absolute ownership of all proprietary business data uploaded to the Platform, including but not limited to Product Catalogs, Material Catalogs, Bills of Materials (BOMs), and Sales Forecasts. We claim no intellectual property rights over your data.
Our Platform: RatikLytics Limited retains all rights, title, and interest in the Platform, including its code, algorithms, design, and logic.
3. Use of Service
You are granted a non-exclusive, non-transferable, revocable licence to use the Platform for your internal business operations. You agree not to:
Reverse engineer, decompile, or attempt to extract the source code of the Platform.
Use the Platform for any unlawful purpose or in a manner that disrupts the integrity of our systems.
Resell, sublicense, or rent access to the Platform to any third party.
4. Data Processing (Data Processing Agreement)
For the purposes of the UK GDPR:
Roles: The User acts as the Data Controller for all proprietary business data and personal information uploaded to the Platform. RatikLytics Limited acts as the Data Processor.
Obligations: We agree to process such data strictly in accordance with your instructions and the functional requirements of the Platform. We implement appropriate technical and organisational measures to ensure data security.
Sub-processors: You authorise us to use vetted third-party sub-processors (as disclosed in our Privacy Policy) to provide the hosting and infrastructure necessary for the Platform.
Data Return: Upon termination, you are responsible for exporting your data using the available 'Download' functions. We do not provide manual extraction services. All data is purged from our active systems within 30 days of account closure.
5. Limitation of Liability
Decision Support: StockPulse is a decision-support tool. All production, inventory, and financial decisions remain the sole responsibility of the User. We do not guarantee the accuracy of data output and shall not be liable for business interruptions, loss of profits, or production delays.
Liability Cap: To the maximum extent permitted by applicable law, the total liability of RatikLytics Limited, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with these Terms, shall be limited to the total fees paid by the User to RatikLytics Limited in the 12 months preceding the event giving rise to the claim.
6. Termination
We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, you lose access to the Platform, and your data will be purged according to our retention policy described in Section 4.

8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales
